Terms of Service

1. Account Terms

• You must be at least 13 years old to create an account. Users between 13 and 18 must have parental or guardian consent.
• You must provide accurate, complete, and current information during registration and keep it updated.
• You are responsible for maintaining the security of your account credentials. You must not share your password or allow others to access your account.
• You must notify us immediately at hunter@greenlightsystems.io if you suspect unauthorized access to your account.
• One person or entity may not maintain more than one account.

2. Acceptable Use

You agree not to:

• Provide false, misleading, or fraudulent information in your profile or scholarship applications.
• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to gain unauthorized access to other users' accounts, the Service's infrastructure, or any related systems.
• Scrape, crawl, or use automated means to access the Service or extract data without our written permission.
• Interfere with or disrupt the Service or servers, or violate any requirements, procedures, or policies of our hosting providers.
• Use the Service to spam, harass, or send unsolicited communications to other users or scholarship providers.
• Reverse engineer, decompile, or disassemble any part of the Service.

3. Subscription and Billing

Free Plan

ScholarMate offers a free tier with limited features. Free accounts have access to basic scholarship matching with restricted daily views.

Pro Plan

ScholarMate Pro is a paid subscription available on a monthly or annual basis. Pricing is displayed on our Pricing page and is subject to change with 30 days' notice to existing subscribers.

Payment Processing

All payments are processed securely through Stripe. By subscribing to Pro, you authorize us to charge your payment method on a recurring basis until you cancel. You are responsible for keeping your payment information current.

Cancellation and Refunds

You may cancel your Pro subscription at any time through your account settings or the Stripe customer portal. Upon cancellation, you will retain access to Pro features until the end of your current billing period. Refunds are generally not provided for partial billing periods, except as required by applicable law.

4. Intellectual Property

The Service, including its design, code, branding, logos, text, and all other content created by ScholarMate (excluding user-submitted content), is the property of Greenlight Systems and is protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service or its content without our written permission.

5. User Content

You retain ownership of all content you submit to ScholarMate, including profile information, essays, and documents. By submitting content, you grant us a limited, non-exclusive, royalty-free license to use, store, and process that content solely for the purpose of providing and improving the Service.

You represent that you have the right to submit any content you provide and that it does not infringe on any third party's intellectual property or other rights.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SCHOLARMATE AND GREENLIGHT SYSTEMS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Termination

We reserve the right to suspend or terminate your account at any time if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion, with or without notice.

You may delete your account at any time through your Profile settings. Upon account deletion, all your personal data will be permanently removed within 30 days, as described in our Privacy Policy.

If your Pro subscription is active at the time of termination for violation of these Terms, no refund will be issued.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, it shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the State of Texas.

You agree to resolve disputes on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

10. Changes to These Terms

We may modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.
